Compaq, HP Deal Resisted

A day after San Jose computer giant Hewlett-Packard detailed its 23 billion dollar plan to acquire Compaq Computer, a key opponent is laying the groundwork for a potential proxy fight.

Walter B. Hewlett, a board member and son of HP co-founder William Hewlett, told the Securities and Exchange Commission today he plans to file a proxy statement to solicit shareholders on the matter.

His filing includes an analysis presented to the Hewlett family´s trust by advisers who say acquiring Compaq is a bad deal.
